Triumph Group has announced an agreement to sell its composites operations to Arlington Capital Partners. Included in the sale are the Triumph Aerospace Structures composites locations in Milledgeville, Georgia and Rayong, Thailand.

Arlington Capital Partners is a Washington, DC-based private equity firm that is focused on investing in growth industries including aerospace & defence, government services and technology, healthcare, and business services and software.

The operations cover approximately 800 thousand square feet of factory space and employ approximately 600 people. The composites business provides structural and engine composite fabrications and assemblies across commercial, business jet, and defence platforms. Key programs supported by the sites include Boeing 787, 777 and V-22, Airbus A320, A330 and A350, Embraer E-2, Northrop Grumman Global Hawk, as well as the Gulfstream G650/700.

The transaction is subject to customary closing conditions and is expected to close in Triumph’s second quarter of FY21. Following the close of the transaction, the business will retain its management, technical and supporting staff, and will continue operations at the current facilities.

Huntsman has announced it has reached an agreement to purchase CVC Thermoset Specialties, a North American speciality chemical manufacturer serving the industrial composites, adhesives and coatings markets.

Under terms of the agreement, Huntsman will pay $300 million, subject to customary closing adjustments, in an all-cash transaction funded from available liquidity.  Based on full-year 2019, the purchase price represents an adjusted EBITDA multiple of approximately 10 times, or between approximately 7 to 8 times pro forma for synergies, the lower multiple end being dependent upon normal growth market conditions.  The transaction is expected to close around midyear of 2020.

Founded in 1982, the company manufacture speciality products for high-performance thermoset systems including epoxy resins, reactive liquid polymers, epoxy-functional reactive modifiers, elastomer modified epoxy resins and curing agents, catalysts and accelerators.

Mitsubishi Chemical Advanced Materials AG (MCAM) has announced that it has entered into an agreement for the acquisition of c-m-p GmbH (c-m-p) through its German subsidiary Mitsubishi Chemical Advanced Materials GmbH.

Founded in 2011 and located in Heinsberg Germany, C-M-P GmbH specialises in the development and manufacturing of customised prepregs and textiles made of carbon and other high-performance fibres.

With the addition of c-m-p, both companies can further strengthen their market position in the composites industry, as well as developing future composite materials. The acquired entity had been a 50:50 partnership between the original founders of c-m-p GmbH and DowAksa B.V. Through this acquisition, MCAM acquires 100% of the shares of c-m-p.

Woodward, Inc and Hexcel Corporation have announced a definitive agreement to combine in an all-stock merger of equals to create a premier integrated systems provider serving the aerospace and industrial sectors.

In a deal worth over $6 billion the companies said existing Woodward shareholders will own approximately 55% and existing Hexcel shareholders will own approximately 45% of the combined company on a fully diluted basis. In connection with the transaction, Woodward is increasing its quarterly cash dividend to $0.28 a share. The merger is expected to be tax-free for US federal income tax purposes.

The combined company, to be named Woodward Hexcel and headquartered in Fort Collins, Colorado , will be among the top independent aerospace and defence suppliers globally by revenue. It will have more than 16,000 employees, manufacturing operations in 14 countries on five continents, and a diversified customer base across multiple markets. For each company’s respective fiscal year 2019 on a pro forma basis, the combined company is expected to generate net revenues of approximately $5.3 billion and EBITDA of $1.1 billion, or a 21% EBITDA margin.

Nick Stanage, Chairman, Chief Executive Officer and President of Hexcel, will serve as Chief Executive Officer of the combined company. Tom Gendron, Chairman, Chief Executive Officer and President of Woodward, will serve as Executive Chairman of the combined company until the first anniversary of the closing of the merger, at which time Mr. Gendron intends to retire from the company and will then serve as non-executive Chairman of the combined company until the second anniversary of the merger close. At that point, Mr. Stanage will assume the role of Chairman of the Board in addition to his CEO responsibilities. The combined company’s Board of Directors will have 10 members, consisting of five directors from each company, including Mr. Gendron and Mr. Stanage.

The transaction is subject to the approval of the shareholders of both Woodward and Hexcel, as well as other customary closing conditions, including required regulatory approvals. The parties expect the merger to close in the third calendar quarter of 2020, subject to satisfaction of these conditions.

BÜFA Composite Systems, confirms it has acquired Manningtree-based AOC (UK) Ltd,  a UK supplier of composite products. Former owners AOC Aliancys will remain the supplier of the resins portfolio. In future, the UK company will trade as BÜFA Composites UK.

The company has agreed to sell its glass fibre reinforcement business in Mikkeli, Finland, to Vitrulan Composites Oy, a fully owned subsidiary of Vitrulan Group and part of the family-owned industrial holding ADCURAM Group.

Ahlstrom-Munksjö’s Mikkeli plant produces glass and carbon-based reinforcement fabrics. Their main product offering consists of speciality glass fibre reinforcements for the wind energy market as well as for other end-uses including marine and transportation applications as currently manufactured in Mikkeli. At the end of 2018, the plant employed about 100 people.

The company’s net sales were approximately EUR 30 million and the divestment will not have a material impact on Group’s comparable EBITDA. The debt-free purchase price is EUR 6.5 million. The transaction is expected to be completed during the fourth quarter of 2019 and is subject to customary closing terms. The Mikkeli plant is part of Ahlstrom-Munksjö’s Filtration and Performance business area.

Ahlstrom-Munksjö will continue to produce glass fibre tissue at its plants in Karhula, Finland, and Tver, Russia. and plans to grow its market position further. Vitrulan has approximately 400 employees and generates net sales of approximately EUR 60 million. Its woven materials are used in public and private buildings, reinforcing and backing fabrics, laminates and special products.

TK Industries is a specialised fabric manufacturer based in Selbitz, Germany. At its production site, the company only processes carbon fibres with the latest multiaxial production technology. This technology is optimised for the use of cost-efficient 24k and 50k rovings and according to this, the products manufactured by TK Industries perfectly complement the Saertex range of multiaxial fabrics. Customers can be found in the industrial and transport sectors, especially in boat building and automotive industry. Other areas of application include wind energy and infrastructure.

The goal is to grow together and use common resources in purchasing, production and distribution. We have seen initial successes and are confident that, through the close collaboration, we will further enhance our range of multiaxial carbon fabrics.
